1. Introduction
Welcome to MediaNow. By engaging our services, accessing our website, or booking any campaign, shoot, or consultation, you agree to be bound by the following Terms and Conditions. Please read them carefully.
MediaNow (“we”, “us”, “our”) provides digital marketing, social media management, influencer marketing, video production, performance advertising, and related creative services to clients (“you”, “your”).
2. Scope of Services
2.1. Services are provided based on the agreed scope of work outlined in your proposal, contract, or statement of work.
2.2. Any additional services requested outside the agreed scope will be quoted separately and require written approval before execution.
2.3. MediaNow reserves the right to refuse services that conflict with our brand values or creative standards.
3. Client Responsibilities
3.1. You agree to provide timely access to information, assets, approvals, and decision-makers required to execute the scope of work.
3.2. Delays caused by client-side unavailability, feedback delays, or failure to provide necessary materials may impact timelines. MediaNow is not liable for such delays.
3.3. You warrant that you own or have obtained all necessary rights and permissions for any content, trademarks, or intellectual property provided to MediaNow for use in campaigns.
4. Fees & Payment Terms
4.1. Payment terms are outlined in your contract or invoice. Unless otherwise agreed, payments are due within 15 days of invoice date.
4.2. Late payments may result in the suspension of active services until all outstanding balances are cleared. Digital assets will not be transferred until full payment is received.
4.3. All fees are non-refundable once work has commenced or assets have been delivered.
5. Intellectual Property
5.1. Client-Owned Materials: All content, branding, and assets provided by the client remain the property of the client.
5.2. MediaNow-Owned Materials: All creative concepts, strategies, scripts, drafts, and unpublished work remain the intellectual property of MediaNow until final payment is received in full.
5.3. Delivered Work: Upon full payment, the client receives a non-exclusive, perpetual license to use the final deliverables for their own marketing purposes.
5.4. Portfolio Rights: MediaNow reserves the right to display any work created for the client in our portfolio, case studies, website, and social media channels unless a signed non-disclosure or exclusivity agreement is in place.
6. Influencer & Creator Partnerships
6.1. MediaNow acts as an intermediary between clients and influencers/creators. While we vet all partners, we do not guarantee specific engagement results or viral performance.
6.2. Payment to influencers is collected from the client and remitted by MediaNow. Delays in client payment may result in delayed influencer payments and campaign hold.
6.3. MediaNow is not liable for influencer behavior, reputational changes, or contractual breaches by third-party creators, though we will take reasonable steps to resolve disputes.
7. Campaign Performance & Guarantees
7.1. MediaNow guarantees best-in-class strategy and execution. However, due to the nature of digital platforms and algorithm changes, we do not guarantee specific results (e.g., followers, conversions, ROI) unless explicitly stated in a signed performance guarantee addendum.
7.2. Any performance guarantees provided will be outlined in a separate agreement and are subject to minimum ad spend and campaign duration requirements.
8. Cancellation & Termination
8.1. Either party may terminate an active contract with 30 days written notice.
8.2. Upon termination, the client is responsible for payment of all work completed up to the termination date.
8.3. No refunds will be issued for work already delivered or in progress.
8.4. MediaNow reserves the right to terminate services immediately if the client engages in unethical practices, fails to make payments, or violates these terms.
9. Limitation of Liability
9.1. MediaNow shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services, including but not limited to loss of revenue, data, or business opportunities.
9.2. Our total liability shall not exceed the total fees paid by the client in the 12 months preceding the claim.
10. Confidentiality
10.1. Both parties agree to maintain the confidentiality of proprietary business information shared during the engagement.
10.2. This clause does not apply to information already in the public domain or independently developed.
11. Governing Law
11.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Arab Emirates.
11.2. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Dubai.
FREE SHOOT – ADDITIONAL TERMS & CONDITIONS
This section applies specifically to MediaNow’s “Book a Free Shoot” lead generation offer.
F1. Offer Overview
The Free Shoot is a limited-time lead generation initiative. MediaNow agrees to produce one (1) professionally filmed and edited video for eligible businesses at no cost.
F2. What’s Included
- One (1) social-ready video (Reel, Short, or vertical format)
- Professional filming at client’s location or MediaNow-selected venue
- Basic editing, color grading, and audio cleanup
- Full commercial usage rights for the client
- MediaNow creative direction during the shoot
F3. What’s Not Included
- Multiple video cuts or variations
- Extensive retouching, animation, or motion graphics
- Reshoots due to client dissatisfaction with creative direction
- Travel outside designated shooting zones (Dubai/Sharjah/Ajman)
F4. Scheduling & Rescheduling
F4.1. The shoot date is mutually agreed upon booking confirmation.
F4.2. Client-Side Changes: No reshoots or reschedules will be accommodated due to client unavailability, last-minute cancellations, insufficient preparation, or failure to provide required assets/talent. Client no-shows without prior notice will result in forfeiture of the free shoot offer.
F4.3. MediaNow-Side Changes: If MediaNow is unable to execute the shoot due to technical failure, crew unavailability, or operational issues, we will reschedule at no cost to the client.
F5. Creative Control
F5.1. MediaNow provides professional creative direction during the shoot to ensure lighting, framing, and audio meet our production standards.
F5.2. While we welcome client input, final creative decisions regarding video style, pacing, and editing remain with MediaNow to ensure quality and platform optimization.
F6. Usage Rights & Licensing
F6.1. Upon delivery, the client receives a non-exclusive, perpetual license to use the final video on their own social media channels, website, and digital advertising.
F6.2. The client may not resell, redistribute, or claim exclusive ownership of the raw footage or unpublished edits.
F7. Portfolio & Promotional Use
F7.1. By booking and participating in the Free Shoot, the client grants MediaNow explicit permission to:
- Display the final video in our portfolio, website, and social media channels
- Use the content in case studies, presentations, and marketing materials
- Tag or mention the client’s brand in connection with the work
F7.2. If the client requires non-disclosure or exclusivity, this must be communicated in writing before booking and may affect eligibility for the free offer.
F8. No Obligation
F8.1. This is a no-commitment offer. Participating in the Free Shoot does not obligate the client to purchase any future services from MediaNow.
F8.2. MediaNow may, at our discretion, offer follow-up services or proposals-but acceptance is entirely voluntary.
F9. Eligibility
F9.1. MediaNow reserves the right to determine eligibility for the Free Shoot offer.
F9.2. We may decline bookings from industries we do not currently serve or where creative alignment cannot be reasonably achieved.
F9.3. Limit one (1) free shoot per business entity.
F10. Modification & Termination
MediaNow reserves the right to modify, suspend, or discontinue the Free Shoot offer at any time without prior notice.
